5. Payment Terms

5.1 Fees and Payment

Payment terms, including fees, schedules, and methods, will be specified in individual project agreements. All amounts are stated in Canadian Dollars (CAD) unless otherwise specified.

5.2 Late Payment

Late payments may result in suspension of services and may incur additional fees as specified in project agreements.

5.3 Refunds

Refund policies will be specified in individual project agreements. Generally, refunds are not provided for completed work or services already rendered.

6. Project Agreements

Specific project terms, including scope, timeline, deliverables, and payment terms, will be outlined in separate project agreements or statements of work. In case of conflict between these Terms and a specific project agreement, the project agreement shall prevail.

7. Confidentiality

We understand that clients may share confidential information with us during the course of our engagement. We commit to:

• Maintaining the confidentiality of all client information
• Using confidential information only for the purpose of providing services
• Not disclosing confidential information to third parties without consent
• Implementing appropriate security measures to protect confidential information

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the amount paid by the client for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, special, or consequential damages
• We shall not be liable for any damages resulting from third-party actions or services
• We shall not be liable for any business interruption or loss of profits

9. Indemnification

You agree to indemnify and hold harmless Speed Lighthouse Games from any claims, damages, or expenses arising from:

• Your violation of any applicable laws or regulations
• Your infringement of third-party intellectual property rights

10. Termination

10.1 Termination by Either Party

Either party may terminate services with appropriate notice as specified in project agreements.

10.2 Termination for Cause

We may terminate services immediately if you breach these Terms or engage in prohibited activities.

10.3 Effect of Termination

Upon termination, you must cease using our services, and we will provide final deliverables as specified in project agreements.

11. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, labor disputes, or technical failures.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

• First, good faith negotiations between the parties
• If negotiations fail, binding arbitration in Toronto, Ontario
• As a last resort, litigation in the courts of Ontario, Canada

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with any applicable project agreements, constitute the entire agreement between you and Speed Lighthouse Games regarding the use of our services.
